How Do I Form an LLC in Maryland?

www.reichertlegal.comTo form an LLC in Maryland your attorney should first file Articles of Organization and a $120 filing fee by mail, or on-line, with the Maryland Department of Assessments and Taxation. The Articles of Organization must include the following information: 1) LLC name and address; 2) Purpose of LLC; 3) Registered agent’s name, address and signature and; 4) Organizer’s name, signature and address.

The usual processing time for documents and filing is seven to eight weeks, but it may take longer depending on the volume of documents submitted to the Department at that time. However, there is an option to expedite services for a $50 fee.

When naming your LLC, ensure that it the name you chose is distinguishable from other LLCs and includes specific words required of LLCs (LLC, L.L.C., LC or L.C.). You may opt to have your preferred name checked for availability, by an attorney, before filing your formation documents. In Maryland, names for LLCs cannot be reserved.

Additionally, though LLCs in Maryland are not required to have an operating agreement, it is beneficial to have one and in many instances, critical.
